I have mixed feelings about this. It sounds good, but individual shareholders have little influence in any BOD election anyway. Vote FOR. We'll see what happens.

Stockholder proposal from the United Brotherhood of Carpenters Pension Fund

This proposal advances the pay-for-superior-performance principle. Executives would only get bonuses if 3M performed well against their compeditors, and not just well compared to their internal corporate goals. Vote FOR.

Shareholder resolution regarding Animal Abuse in testing products

3M has been doing a lot to help minimize Animal Abuse. They do have an 3M's Animal Welfare in Testing and Research Global Policy statement on their website, but it is not very detailed. Vote as you see fit.

Shareholder resolution supporting human rights in China

3M says it does a lot to promote legal and ethical treatment of workers. That's nice. China doesn't. And until the Chinese people have the same standards in their country as put into law by their government, our corporations must step up to the plate. Vote FOR.

    Mr. Anstrom donated mostly to Democrats, and has earned my support for that. There seems to be a question from the AFL-CIO about him (see above). Please vote as you see fit.

Shareholder Resolutions

  • INDEPENDENT AUDITORS

    Comcast uses Deloitte & Touche. I recommend a vote for keeping them for another year.

  • 2002 RESTRICTED STOCK PLAN

    This is an amendment to the previous stock plan to allow Non-Employee Directors to receive restricted stock as part of their compensation package. I recommend that you vote against this amendment. I don't believe that anyone should receive stock as part of their compensation. If they like the company, they have the opportunity to purchase it on the open market, just like we do. This amendment would just keep the wealth in the hands of people who control the gaining of wealth, which is against my principles. Please vote no.

  • DISCLOSE POLITICAL CONTRIBUTIONS

    This would require that the Board publish a report of political contributions made by the company for the 2003-2004 election cycle. While I understand that the information about political contributions is public and made available to us thanks to efforts like Open Secrets, any additional accounting of the money being spent on political influence helps. Last year 14,881,932 shares, or approx. 5% of shares voted in support of this measure. Let's push this to 10%. Vote yes.

  • REQUIRE THAT THE CHAIRMAN OF THE BOARD NOT HAVE MANAGERIAL RESPONSIBILITIES

    This is directed at Brian Roberts specifically. I don't have any issue with him or how he is leading the company. I'm voting no.

  • ELIMINATE SHAREHOLDER RIGHTS PLAN UNLESS SHAREHOLDER APPROVAL IS RECEIVED

    The Shareholder Rights Plan protects the company from a hostile takeover bid. I don't approve of one corporation taking over another, so I'm voting no.

  • ADOPT A RECAPITALIZATION PLAN

    A Recapitalization Plan would move the company towards "One Share, One Vote". Notwithstanding the arguments of the board, I recommend that we vote yes on this. Give each shareholder the same rights according to how many shares they own.

James L. Barksdale manages the Barksdale Management Corporation, which donated $25,000 to the National Republican Senatorial Committee, and $20,500 to the Republican National Committee. I recommend that you withhold your vote for his nomination.

Stephen F. Bollenbach donated to Wesley Clark, Tom Gallagher {Democratic Candidate for Nevada's 3rd District}, Senator Barak Obama and Senator Dianne Feinstein. I recommend that you vote for his renomination.

Steven Case donated to Rep. John Conyers in 2004. I recommend that you vote for his renomination.

Frank Caufield donated $50,000 to the Democratic Central Committee in 2004. I recommend that you vote for his renomination.

Robert C. Clark is a Distinguished Service Professor at Harvard Law School. While the Dean, he supported the policy of the school preventing discrimination based on sexual orientation. I recommend that you vote for his renomination.

Jessica Einhorn is a new candidate for this election. I can find no political donations made by Mrs. Einhorn, but she is a member of the Trilateral Commission. I recommend that you do a Google search and vote as you see fit.

Miles Gilburne donated $25,000 to the DNC in 2004, as well as several thousand dollars to various Democratic candidates including Gov. Howard Dean. I recommend that you vote for his renomination.

Carla Hills donates primarily to Republican candidates, including George W. Bush. I recommend that you withhold your vote for her renomination.

Reuben Mark is the Chairman of Colgate-Palmolive, and is active with the Board of New Visions for Public Schools in New York. Although I could not find any political donations on file, I recommend that you vote for his renomination because of his support for reforming our school system.

Michael A. Miles donated to Mark Kirk (R-ILL). While it's difficult to be sure that this is the same Michael Miles, I recommend that you withhold your vote for his nomination to the Board.

Kenneth Novack donated to the DNC and John Kerry in 2004, and also made donations to several Democratic Senatorial elections. I recommend that you vote for his renomination.

Richard Parsons donated to the RNC and George Bush in 2004. I recommend that you withhold your vote for his renomination to the Board.

Ted Turner donated $25,000 to the DNC and Representative Darlene Hooley (D - OR). I recommend you vote for his renomination.

Francis Vincent donated $200 to the DNC Services Corp in 2004, but also donated $2,000 to George Bush in 2003. I recommend you withhold your vote for his renomination.

Deborah Wright is a new candidate for the board, and it looks like she donated $500 to the Republican Congressional Campaign Committee, and $500 to Senator Barak Obama. I approve of balanced donations, so I recommend that you vote in support of her nomination to the Board.

There will be one Shareholder Proposal dealing with the Executive Compensation. The board recommends that I vote against this proposal, and while I agree with the idea, Time Warner is a very large corporation with the need to attract highly qualified executives and board members. Please read the proposal and the board's response and vote as you see fit.

Rozanne L. Ridgway has donated to Democrats and NARAL Pro Choice. I recommend that she stay on the board. Mr. Coffman and Mr. Sullivan donate mostly to Republicans. I recommend that you withhold your vote on their renomination.

There are two Stockholder Proposals. One is related to Animal Testing, and one is related to Human Rights in China. I recommend that you vote for both of these resolutions.
